Have been thinking
(again!)
These are just thoughts and not sure at what stage they will
be relevant
but I thought we could make a note of them for future
reference
It is not clear what is the current plan for reorganization,
but the
following items
would come to me as to be considered sooner rather than
later:
A board of 5 members seems excessive for such a small,
relatively informal
organisation.
- lighten up the bylaws to make them less binding. IMHO
these should
be a bare minimum to comply with the law, what we have
currently in
place seems to me the format of a large 'holding' company,
probably
creating unnecessary organisational requirements. We could
look for a
solicitor/volunteer among new members to help us do that
- decide if the company should stay registered in
Switzerland (should it?)
- a board of probably 3 members would be more than enough
(chair,
secretary, treasurer)
IMHO the role of the board is purely administrative, and the
board
would not make any executive decisions per se (board would
make
decisions like all other members) but would just provide the
signatures
- we should have an executive committee - all the good
people who have
volunteerd to be board members should be in the committee.
the role of
this would be to get things done that cannot be done by
individuals/teams in the community, including liaising with
the board
for the purpose of fulflilling administrative tasks
- decisions and initiatives should be taken and shared by
all members,
via list discussion and voting - this means that the role of
developing and bringing forth
OSCOM mission would not be down to 5 people, but to the
whole
membership base or whoever has energy/ideas there - this
could make
the group more powerful

luckily I
read Paola's first. I think his ideas are better than mine
for the
type of organization OSCOM is set up as.

Ok, here goes:
I referred to the .LRN Consortium proposed rules to get
their
organization going again:

The basic idea is that the board serves the legal
requirements, and
can help resolve disputes. The board appoints a leadership
committee,
which is similar to the list of members for OSCOM. The
leeadership
committee gets the work done by building consensus, but the
board can
overrule them. The reason the board has this power in .LRN
is that
members have to pay to join which is different from OSCOM.
The paying
members get to vote on who gets on the board.
But similar to OSCOM the board lets the leadership committee
take care
of the goals of the organization, unless the board doesn't
agree. This
is the difference between my ideas and Paola's idea.
