w2k3 server acting goofy after initial exchange 2k3 install

my setup:

2 virtual PCs:

VPC1 - w2k3 enterprise edition, domain controller, dns,
dhcp, file
server, and JUST installed exchange 2k3.

VPC2- win xp, just a normal client machine.

after the install, it said that exchange was installed
successfully,
blah blah blah, and that the machine needed to be restarted.
ok cool.
so it's doing its thing, but now it takes about an hour for
it to get
to the login screen. its getting stuck at "preparing
network
connections". then it takes another 45-60 minutes to
login, getting
stuck at "applying computer settings" or
something. when im finally
able to login, it doesn't show network connectivity.
meaning, there's
no icons in the system tray next to the time. when i go to
the control
panel and try to get into my network connections that way,
the network
connections never come up. control panel just freezes. i
enabled the
"expand network connections" option in the start
menu so that i
wouldn't have to go thru the control panel, but the start
menu freezes
when i try to open network connections from there, too. all
this
started happening after the first reboot after the exchange
install.
any ideas?

btw, i cant find anything in the event log that would
correspond to
this problem.  that is, i dont see any "error"
events.

What are the resources that you have allocated? Exchange is
a resource hog.

Second Pat's question. How much memory have you allocated to
VPC-1?
Also, you never mentioned whether Exchange is functioning
for your XP
client or not.

This happens in every exchange server.
Stop all the exchange services and restart the machine.
After that login and start the service
